General Terms and Conditions for Memberships and Additional Services at ELIXIA

1. General
These General Terms and Conditions (the "Terms and Conditions") constitute a legally binding agreement between you ("you" or the "member") and SATS Finland Oy, Kutomotie 2, FI-00380 Helsinki, Business ID: 0459885-5 ("ELIXIA", "us" or "we") when you purchase or use ELIXIA's products or services. By purchasing a membership or services from ELIXIA, you confirm that you have read, understood and accepted these Terms and Conditions.
These Terms and Conditions may be supplemented by specific terms, including club rules and safety and conduct rules. Such terms and rules are available at all ELIXIA clubs and on our website at www.elixia.fi and may be updated from time to time. Fixed-term memberships, including trial, promotional and single-visit memberships, are considered memberships and are subject to these Terms and Conditions throughout their validity period.
Certain services may also be used without a membership. When using such services, these Terms and Conditions shall apply accordingly. ELIXIA's Privacy Policy describes how we process your personal data. Further information is available on ELIXIA's website.
Use of the ELIXIA app is subject to separate terms of use. Further information is available on ELIXIA's website.
2. ELIXIA-Membership
2.1 Who can Become a Member
A membership may be entered into by a person who has reached the age of 18 and is in generally good health such that membership does not pose an obvious risk to their health or safety.
Minors from the age of 11 may become a member if a parent or legal guardian enters into the agreement and assumes legal and financial responsibility for the membership.
ELIXIA reserves the right to refuse membership to persons who have outstanding debts to ELIXIA or who have previously been subject to a suspension or access ban.
2.2 Membership Registration and Access to ELIXIA's Facilities
ELIXIA offers various membership types with different prices, access rights and content. Information about available memberships is provided during registration and on ELIXIA's website and in the ELIXIA app. Once the membership has been created, it can be managed through My Pages.
Access to ELIXIA centres requires the use of a membership card or the ELIXIA app, which may function as an access card.
When registering, you must create a digital payment agreement; see Clause 5.
Before a membership can be activated, the member's identity must be verified at an ELIXIA centre by presenting valid identification. A photograph of the member will be taken prior to activation. In order to gain access to ELIXIA centres, the member must be able to identify themselves upon request.
Membership is personal and may not be transferred to or used by any other person. ELIXIA may require the presentation of valid identification upon entry, and failure to provide such identification may result in access being denied.
ELIXIA will, as far as possible, adapt its service offering and opening hours to members' needs, preferences and usage. However, individual centres may be closed or operate with reduced services due to public holidays, vacation periods, maintenance work or force majeure events.
2.3 Access to ELIXIA's Facilities for Minors
For members from the age of 11 up to and including the calendar year in which they turn 14, use of ELIXIA's facilities is permitted only when the minor trains together with a responsible parent or guardian.
Members may train independently from the calendar year in which they turn 15. Children under the age of 11 only have access to ELIXIA's childcare service; see Clause 4.5.
3. Well-being, Safety and Responsibility
3.1 Code of Conduct and Use of Our Clubs
Members shall behave with consideration, responsibility and respect towards other members, employees and third parties, and shall contribute to a safe, clean and inclusive training environment.
Behaviour which, in ELIXIA's assessment, is disruptive, threatening, discriminatory, creates a sense of insecurity, causes disturbance or is otherwise inappropriate is not permitted. The same applies to behaviour that creates a risk of personal injury or damage to equipment or property. ELIXIA has zero tolerance for unlawful conduct.
3.2 Safety Instructions
Members are required to familiarise themselves with and comply with ELIXIA's safety instructions in force from time to time. This includes instructions relating to fire safety, emergency exits and first aid equipment.
For safety reasons and in order to keep escape routes clear, bags, backpacks, outerwear and similar items must not be brought into training areas. Local instructions, signage and directions given by ELIXIA employees must always be followed.
ELIXIA uses camera surveillance in its centres in accordance with applicable legislation and our Privacy Policy.
3.3 Training at Your Own Risk
Members train at their own risk and are responsible for assessing their own health and refraining from activities that are not compatible with their condition. This applies to all use of ELIXIA's services.
ELIXIA is not liable for personal injury caused by misuse of equipment, negligent conduct, or failure to comply with instructions or intended use, regardless of whether the injury occurs during individual training or while using additional services.
Nothing in these Terms and Conditions limits ELIXIA's liability under mandatory law.
3.4 Anti-Doping
The use, possession, distribution and sale of all prohibited and/or illegal substances on ELIXIA's premises is strictly prohibited. Prohibited substances include substances prohibited under the anti-doping regulations of the World Anti-Doping Agency (WADA).
3.5 Storage of Personal Belongings
Members are personally responsible for all belongings brought into ELIXIA centres, including items left in lockers. If belongings are left in lockers after the centre has closed, ELIXIA may remove the lock and place the belongings in storage. Lost or forgotten items will be stored for a limited period, after which they may be donated or disposed of.
ELIXIA is not responsible for the theft, damage to, or loss of personal belongings regardless of where such belongings are stored.
3.6 Commercial Activities
Any commercial activity conducted on ELIXIA's premises that is not carried out under ELIXIA's direction is permitted only with ELIXIA's prior written consent. This includes all forms of marketing, advertising, provision of services and the production of content for commercial purposes. ELIXIA shall determine, at its sole discretion, whether an activity is commercial in nature.
The prohibition includes, among other things, the sale or offering of fitness services, the marketing of one's own or another company's business, and the taking of photographs or videos for use in advertising, campaigns, collaborations, sponsored posts, affiliate content or other commercial material.
4. Additional Services
4.1 General
Members may purchase various additional services at selected ELIXIA centres. The availability, capacity and scope of services and activities may vary between centres and countries, and ELIXIA cannot guarantee availability or a place in any particular activity.
Further details regarding cancellation are set out in Clause 7.4. Information regarding registration, check-in, deadlines, prices and any restrictions is available on ELIXIA's website and in the ELIXIA app.
4.2 Group Training
Access to group training classes requires a membership that includes group training. Members may register for group training classes subject to the restrictions applicable to their membership.
Registration for group training takes place through ELIXIA's current booking system. Attendance must be registered by the applicable check-in deadline; otherwise, the place may be allocated to another member.
Failure to cancel a booking or failure to attend a booked class may result in temporary restrictions on the use of the service in accordance with the rules published on ELIXIA's website.
4.3 Personal Training
The purchase of training with a personal trainer ("PT") is subject to the prices in force as published on ELIXIA's website. Prices vary between individual PT sessions and packages containing multiple sessions of different durations.
One PT session entitles the member to one pre-defined PT session. Unless otherwise stated, PT sessions are valid for 12 months from the date of purchase. Packages containing 50 PT sessions or more are valid for 16 months.
The purchase of PT sessions entitles the member to train with an available PT at the qualification level specified at the time of purchase. ELIXIA may, where necessary, assign another PT with equivalent qualifications. Such changes do not entitle the member to reimbursement, compensation or termination of the agreement. In such cases, ELIXIA will consult with the member regarding an alternative PT.
The member must inform the PT of any injuries, illnesses or other health-related circumstances that may be relevant to the training.
4.4 Boot Camp
ELIXIA Boot Camp is goal-oriented training conducted in small groups and led by an ELIXIA instructor or personal trainer. The training programme, including the number of sessions, duration and scheduled training dates, is agreed in advance.
ELIXIA may, where necessary, appoint another employee to lead the training sessions. In such cases, ELIXIA will consult with the members of the group. Such changes do not entitle the member to reimbursement or other compensation.
The member must inform ELIXIA of any injuries, illnesses or other circumstances that may affect participation in the training.
4.5 Childcare Service – MiniElixia
The childcare service is a temporary service for members while they are training at ELIXIA. The service may be used by members for their own children from the age of three months up to and including 11 years of age.
The child must be registered by a parent or guardian upon arrival. The member must remain on ELIXIA's premises throughout the entire visit and be available for immediate contact.
Use of the childcare service is time-limited, and the number of children admitted depends on capacity, staffing resources and safety assessments.
The service may only be used by children who show no symptoms of infectious illness and who have been symptom-free for at least two days prior to the visit.
5. Payment
5.1 Payment for Membership
The current membership price is available on My Pages.
The member must pay the monthly membership fee, joining fee and any other applicable charges in accordance with the prices in force. The same applies to any parent, guardian or other person who is legally responsible for the membership.
Membership fees are paid monthly in advance unless otherwise agreed. The payment agreement will be charged on the due date. Available payment methods are listed on our website. The member must ensure that the payment limit under the payment agreement covers all monthly charges.
Where a membership has been prepaid for a fixed period, the payment covers the agreed number of months. ELIXIA will notify the member in good time before the prepaid period expires. No later than the last day of the preceding month, the member must notify ELIXIA via My Pages whether the membership is to be continued with a new advance payment or terminated. If ELIXIA does not receive such notice, the membership will automatically continue as an ongoing agreement at the applicable rate.
The member is responsible for ensuring that the payment agreement and associated payment information remain accurate and valid throughout the membership period. If payment cannot be processed due to missing or incorrect payment information, or because the payment agreement has expired, the payment shall be deemed overdue.
In the event of late payment, ELIXIA will issue a payment reminder. If payment is not made following the reminder, the claim may be transferred for debt collection in accordance with the applicable debt collection legislation. ELIXIA may claim reimbursement of collection costs and default interest in accordance with the Debt Collection Act, the Interest Act and other applicable legislation. Failure to pay shall constitute a breach of these Terms and Conditions.
ELIXIA may temporarily suspend the member's access to its centres if any membership fee or other payment due under the agreement is overdue and remains unpaid. Access may remain suspended until all outstanding amounts owed to ELIXIA have been paid in full. Such suspension does not release the member from their payment obligations under the agreement, including any membership fees payable during a binding period.
5.2 Payment for Additional Services
Additional services shall be paid for in advance together with the membership using the payment method registered to the membership, unless otherwise specifically agreed for the relevant service.
6. Discounts
ELIXIA may offer discounted memberships to certain customer groups, including students, youths, seniors and members covered by corporate agreements. Discounts are granted in accordance with the prices and conditions in force from time to time as published on ELIXIA's website (www.elixia.fi).
Eligibility for a discount requires valid supporting documentation. This also applies to memberships that include a discount or subsidy provided by an employer; such memberships are considered personal memberships.
The member must notify ELIXIA without undue delay if the right to a discounted membership ceases. If the conditions for the discount are no longer fulfilled, for example due to completion of studies or termination of employment, the membership fee will be adjusted to the applicable standard rate regardless of any binding period. The membership will continue on ordinary terms until terminated.
7. Duration, Termination and Withdrawal
7.1 Duration of Membership
The membership is valid from the agreed start date as stated on My Pages. All memberships are ongoing and have no fixed end date. Memberships are automatically renewed until terminated in accordance with the provisions below.
Any binding period applicable to the membership is stated on My Pages.
7.2 Termination of Membership by the Member
The member may terminate the membership with one (1) calendar month's notice via My Pages. Termination takes effect at the end of the following month.
Where a binding period applies, termination will take effect upon expiry of the binding period, provided that notice of termination has been registered no later than the end of the penultimate full calendar month of the binding period.
Termination during a binding period may exceptionally be accepted if the member provides appropriate documentation of unforeseen circumstances that make use of the membership practically impossible. Alternatively, ELIXIA may offer the member the option to terminate the membership during the binding period upon payment of a fixed termination fee.
Unused services, including additional services referred to in Clause 4, will not be refunded upon termination of the membership unless otherwise required by mandatory law.
7.3 ELIXIA's Right to Terminate the Membership
ELIXIA may terminate a membership by giving one (1) month's written notice where there are justified grounds for doing so. Such grounds may include, for example, operational or safety-related reasons.
Any prepaid membership fees relating to periods after the expiry of the notice period will be refunded on a pro rata basis.
In the event of a material breach of these Terms and Conditions, ELIXIA may terminate the membership with immediate effect; see Clause 10.
7.4 Cancellation of Additional Services
As a general rule, cancellation of additional services referred to in Clause 4 must be made no later than 24 hours before the scheduled appointment, session or booking.
If cancellation is made after the applicable deadline, or if the member fails to attend without timely cancellation, the member will be charged for the relevant appointment, session or booking.
Some services may be subject to different cancellation policies. The terms and conditions in force from time to time are available on ELIXIA's website and in the ELIXIA app.
7.5 Right of Withdrawal
You have the right to withdraw from an agreement concerning the purchase of a membership or services (right of withdrawal) within 14 days without giving any reason.
To exercise the right of withdrawal, you must, within 14 days of entering into the agreement, clearly notify ELIXIA that you wish to withdraw from the agreement, for example by using the withdrawal form. For online purchases, the withdrawal form will be provided to you by email.
Where the right of withdrawal is exercised, the parties' obligations to perform the agreement shall cease. If you have expressly requested that the membership or other service commence before the withdrawal period expires, ELIXIA may charge you for the part of the service that has already been provided.
The right of withdrawal shall cease if the service has been fully performed before the withdrawal period expires and you have expressly consented to this in advance and acknowledged that the right of withdrawal would thereby be lost.
When the right of withdrawal is exercised, we will refund all payments received from you no later than 14 days after receiving your notice that you wish to exercise the right of withdrawal. Refunds will be made using the same means of payment as you used for the original transaction. Payments made using employee wellness benefits (such as exercise and culture benefits) will not be refunded in cash; any refund will be subject to the terms and conditions of the relevant benefit provider.
The right of withdrawal does not apply to purchases of additional services or goods made at our physical premises.
8. Freeze and Changes to the Membership and Additional Services
8.1 Membership Freeze
You may freeze your membership through My Pages. A freeze means that the membership is temporarily suspended for an agreed period and cannot be used during that period. Any additional services linked to the membership will automatically follow the same freeze period.
A reduced membership fee will be charged during the freeze period. In documented cases, ELIXIA may grant a freeze free of charge; further information is available on ELIXIA's website.
A freeze applies only to full calendar months and may commence no earlier than the first day of the following month. The membership will automatically be reactivated at the end of the freeze period, but may be reactivated earlier through My Pages if the member so chooses. If the membership is reactivated before the freeze period expires, the freeze fee will be refunded on a pro rata basis for the unused portion of the freeze period.
If a membership is terminated during a freeze period, the notice period will commence on the day following the end of the freeze period. Where a binding period applies, the binding period will be extended by a number of days corresponding to the freeze period.
ELIXIA determines the detailed conditions for freezing, including the applicable fee, duration, number of freezes permitted and other conditions. These conditions may be amended from time to time. The terms and conditions in force are available on My Pages.
8.2 Membership Changes
You may change your membership and additional services, including upgrading or downgrading your access level. Upgrades take effect immediately, while downgrades take effect at the end of the following month.
In the event of any change to the membership or additional services, the price in force at the time the change is made shall apply.
9. Changes to Prices, Terms and Offerings
9.1 Price Changes
ELIXIA may once per year adjust the price of ongoing membership agreements in line with changes in the Consumer Price Index (CPI) without separate notice.
In addition, ELIXIA may change prices where necessary to cover increased costs or changes in operating conditions. Such changes may include, but are not limited to, improvements to gyms, equipment or digital services, increases in operating and maintenance costs, changes in legislation or regulatory requirements, events beyond ELIXIA's control and changes in market conditions.
ELIXIA will notify members of these price changes in good time and no later than one (1) month before the change takes effect.
If a price increase is not based on changes in the Consumer Price Index, the member may terminate the membership with effect from the date on which the price change takes effect. Notice of termination must be given no later than 14 days before the change takes effect. If such notice is not received within the applicable deadline, the change shall be deemed accepted.
The right of termination under this Clause does not apply to price changes resulting from the expiry or discontinuation of introductory offers, campaign prices, discounts or other pricing benefits.
For members subject to a binding period, price changes shall take effect only after expiry of the binding period, unless the change results from the expiry of a discount referred to in Clause 6.
9.2 Amendments to the Terms and Conditions
ELIXIA may amend these Terms and Conditions where necessary to improve or clarify the content, comply with legal or regulatory requirements, provide additional information regarding ELIXIA's services, gyms or digital solutions, implement changes or additions to services or memberships, carry out reorganisations, safeguard safety, personnel or property, or adapt the Terms and Conditions to force majeure situations referred to in Clause 13.
ELIXIA will notify members of amendments to these Terms and Conditions no later than the date on which the changes take effect. If the changes have a material adverse effect on the member's rights, ELIXIA will provide at least one (1) month's prior notice.
In such cases, the member may terminate the membership with effect from the date on which the changes take effect. Notice of termination must be given no later than 14 days before the changes take effect. If such notice is not received within the applicable deadline, the changes shall be deemed accepted.
9.3 Changes to Membership Services
ELIXIA may make changes to the services included in a membership, including temporary closure of facilities, adjustments to services and/or other changes to operating conditions.
Where such changes adversely affect the member in a material manner, ELIXIA will notify the member no later than one (1) month before the change takes effect. In such cases, the member may terminate the membership with effect from the date on which the changes take effect. Notice of termination must be given no later than 14 days before the changes take effect. If such notice is not received within the applicable deadline, the changes shall be deemed accepted.
ELIXIA's gyms vary in terms of facilities and services, including equipment and additional services, which are not considered part of a guaranteed service offering. ELIXIA may change or remove such facilities, equipment and services at individual centres without prior notice, including, for example, saunas. Such changes do not entitle the member to a price reduction, reimbursement or any other claim against ELIXIA.
10. Breach of the Terms and Conditions
In the event of a breach of these Terms and Conditions, ELIXIA may take measures appropriate to the nature and severity of the breach. Such measures may include a warning, temporary suspension, temporary or permanent exclusion from ELIXIA's facilities, closure of the relevant facilities or services, claims for compensation and/or termination of the membership.
Such measures do not release the member from their payment obligations during any applicable notice period and/or binding period.
Before implementing more significant measures, ELIXIA will, where reasonably practicable, notify the member in advance.
Criminal offences will be reported to the police.
11. Communication and Notices
General communications relating to the membership and any additional services will be sent to the member using the contact details registered on My Pages.
Notices concerning changes referred to in Clause 9 will be sent to the member by SMS or email. Notices and other communications shall be deemed received when sent to the member's registered contact details.
The member is responsible for ensuring that the contact details registered on My Pages are correct and up to date at all times.

12. Transfer of Rights and Obligations
ELIXIA may transfer its rights and obligations under these Terms and Conditions to another company, provided that the member's rights are not adversely affected.
ELIXIA will provide at least one (1) month's prior notice of such transfer, and the transfer shall take effect on the first day of the month following the expiry of the notice period.
The member may not transfer any rights or obligations under these Terms and Conditions.
13. Force Majeure
ELIXIA shall not be liable for any failure or limitation in performance resulting from a force majeure event. Force majeure means extraordinary events beyond ELIXIA's reasonable control, including natural disasters, fire, flooding, pandemics, strikes, lockouts, war, public authority orders or restrictions, interruptions in electricity supply or network services, and other similar circumstances that render performance impossible or unreasonably difficult.
14. Disputes and Jurisdiction
In the event of disagreement, claims or other disputes, we kindly ask that you first contact our customer service.
If the matter cannot be resolved, you may refer it to the Finnish Consumer Disputes Board (Kuluttajariitalautakunta), P.O. Box 3066, FI-00531 Helsinki, Finland, www.kuluttajariita.fi/. Before referring a matter to the Consumer Disputes Board, you should contact the Consumer Advisory Services of the Finnish Competition and Consumer Authority (www.kkv.fi/kuluttajaneuvonta).
Disputes may be brought before the court of the member's general place of jurisdiction.
These Terms and Conditions shall be governed by the laws of Finland.
In the event of any discrepancy between language versions, the Finnish-language version shall prevail.
